Terms of Service

1. Service Description

MantleWP (“we,” “us,” or “our”) provides a software-as-a-service (SaaS) platform that auto-generates white-labeled client reports for WordPress agencies. The Service includes a WordPress plugin for site health data collection, a web dashboard for account and report management, and automated report generation with AI-powered executive summaries.

2. Account Creation and Responsibilities

To use MantleWP, you must create an account using a valid email address. You are responsible for:

• Keeping your login credentials and API keys secure and confidential
• All activity that occurs under your account, including actions taken by team members you authorize
• Maintaining accurate and up-to-date billing and contact information
• Notifying us promptly if you suspect unauthorized access to your account

3. Acceptable Use

You agree not to use MantleWP for:

• Any illegal activities or violation of applicable laws or regulations
• Unauthorized access to other user accounts, systems, or data
• Scraping, crawling, or automated extraction of data from the MantleWP platform
• Reselling, sublicensing, or redistributing the Service or generated reports to third parties as your own product
• Distributing malware, harmful code, or engaging in phishing or spam
• Reverse engineering, decompiling, or attempting to extract source code from MantleWP
• Deliberately overloading or disrupting the Service or its infrastructure

4. Payment Terms

Free Tier: MantleWP offers a free plan with limited features (up to 3 sites). The free tier does not require payment and has no service level guarantee.

Paid Plans: Subscription fees are billed monthly or annually depending on your selected plan. Billing occurs automatically via Stripe on the anniversary of your subscription start date. All fees are listed in US dollars and exclude applicable sales tax, VAT, or other taxes, which may be added to your invoice.

Recurring Billing: By subscribing to a paid plan, you authorize automatic recurring charges to your payment method. Your subscription renews automatically unless you cancel.

Failed Payments: If a payment fails, Stripe will automatically retry the charge up to 3 times over approximately 2 weeks. If all retries fail, your account will be downgraded to the free tier. We will send you email notifications at each failed payment attempt so you can update your payment method.

Cancellation: You may cancel your subscription at any time through your Account Settings. Cancellation takes effect at the end of your current billing period — you retain access to paid features until then. No partial refunds are issued for unused time within a billing period.

Refunds: Monthly plans are non-refundable. Annual plans may be refunded on a pro-rated basis if you cancel within the first 30 days of your annual billing period. After 30 days, annual plans are non-refundable but you retain access through the end of your annual period. If you are unhappy with the Service, contact us — we'd rather make it right than lose you.

5. Data Ownership

Your Data Is Yours: You retain full ownership of all data you provide to MantleWP, including your account information, WordPress site data, and generated reports. We do not claim ownership of your reports, site health data, or any content associated with your account.

License to Operate: You grant MantleWP a limited, non-exclusive license to use your data solely to provide the Service (generating reports, creating AI summaries, delivering emails). We will not use your data for any other purpose without your consent.

6. Intellectual Property

Our Property: All content, features, and functionality of the MantleWP platform (including the website, application code, design, graphics, and documentation) are owned by MantleWP or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your Property: Your data, branding assets (logos, colors), and generated reports belong to you. You may use white-labeled reports in any way you choose, including sharing them with your clients under your own brand.

7. Service Availability

We aim to maintain high availability for paid plans but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability, and will provide notice when possible.

Free tier: The free plan is provided as-is with no uptime commitment or service level agreement. Paid plans: We target 99.5% uptime for paid subscribers but this is not a contractual guarantee. If extended downtime occurs, contact us and we will work with you on a fair resolution.

8. Limitation of Liability

MantleWP is a reporting and monitoring tool. We display site health information collected from your WordPress installations, but we are not responsible for the underlying issues we report on. Specifically:

• We are not responsible for WordPress site outages, security breaches, or performance issues on your connected sites
• Report data reflects what our plugin collects at the time of the health check and may not represent real-time conditions
• AI-generated summaries are informational and should be reviewed before sending to clients

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• MantleWP is provided “as is” without warranties of any kind, either express or implied
• We are not liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability is limited to the amount you paid for MantleWP in the 12 months preceding the claim
• We are not responsible for data loss caused by circumstances beyond our reasonable control

9. Termination

By You: You may cancel your subscription and delete your account at any time through your Account Settings. Cancellation takes effect at the end of your current billing period. Upon account deletion, your data will be removed per our Privacy Policy.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in illegal activity, or breach the Acceptable Use policy. We will provide notice when reasonably possible. Upon termination for cause, no refund is owed.

10. Indemnification

You agree to indemnify and hold harmless MantleWP from any claims, damages, or costs (including reasonable attorney fees) arising from your violation of these Terms, your use of the Service, or your data.

11. Changes to Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you by email at least 30 days before they take effect. The updated terms will also be posted on our website with a revised “Last updated” date. Continued use of MantleWP after the effective date constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.
